The Washington Parish School Board met in special session on the above date with the following members present: Dan Slocum, John Wyble, Bruce Brown, John Breland, Matthew Tate, Alan McCain, Robert Boone, Dewitt Perry and Lesley McKinley.  Absent: none.

 

Agenda Item #1 - Call to order

 

The meeting was called to order by President Matthew Tate.

Agenda Item #3 – Pledge of Allegiance

 

Agenda Item #4 – Consider a motion to adopt an ordinance creating Angie-Varnado Consolidated School District of the Parish of Washington, State of Louisiana, defining and describing the boundaries thereof and providing for other matters in connection therewith (Matthew Tate).

 

It was moved by Lesley McKinley, seconded by Robert Boone, that the Board adopt an ordinance creating Angie-Varnado Consolidated School District as follows:

 

ORDINANCE

 

 

An ordinance creating the Angie-Vamado Consolidated School District of the Parish of Washington, State of Louisiana, defining and describing the boundaries thereof and providing for other matters in connection therewith.

 

WHEREAS, this Parish School Board deems it to be in the best interest of the public school system of the Parish of Washington and the residents of (i) Angie School District of the Parish of Washington, State of Louisiana and (ii) Vamado School District of Washington Parish, Louisiana, to create a consolidated school district with boundaries containing all the territory presently within the boundaries and corporate limits of said two (2) School Districts; and

 

WHEREAS, Section 1371 of  Title 17 of the Louisiana Revised Statutes of 1950 (R.S.17:1371) authorizes the creation of consolidated school districts at the discretion of the Parish School Board;

 

 

NOW, THEREFORE, BE IT ORDAINED by the Parish School Board of the Parish of Washington, State of Louisiana, that:

 

SECTION 1. Acting under and by virtue of the authority conferred on Parish School Boards of the State of Louisiana by Section 1371 of Title 17 of the Louisiana Revised Statutes of 1950 of (R.S. 17:1371 ), and other constitutional and statutory authority, there is hereby created a consolidated school district, which consolidated school district shall contain within its boundaries all the territory presently within (i) Angie School District of the Parish of Washington, State of Louisiana and (ii) Vamado School District of Washington Parish, Louisiana.

 

SECTION 2.  The consolidated school district hereby created shall be known and is hereby designated as "Angie-Vamado School District of the Parish of Washington, State of Louisiana", and, as such, shall constitute a political subdivision of the State of Louisiana and shall have all the powers and enjoy all the rights, privileges and authority granted by the Constitution and statutes of this State, including the authority to incur debt, to issue bonds and to levy taxes.

 

 

SECTION 3. The official seal of this Parish School Board is hereby designated and adopted as the official seal of said Consolidated School District.

 

SECTION 4.  All ordinances and/or resolutions or parts thereof in conflict herewith are hereby repealed to the extent of such conflict, except that this ordinance shall not be interpreted as affecting in any way the corporate existence of any existing underlying school district.

 

SECTION 5. This ordinance shall be full force and effect immediately upon its adoption.

Agenda Item #5 – Notice of intent of the Washington Parish School Board to call general obligation bond elections in Consolidated School District No. 4 of the Parish and the Angie- Varnado Consolidated School District of the Parish.

 

Superintendent Fairburn read the notice of intent as follows:

 

Notice of Public Meeting

 

Notice is hereby given that at its meeting to be held on Thursday, January 11, 2018 at 6:00 p.m.at the Parish School Board Office, 800 Main Street, Franklinton, Louisiana, the Parish School Board of the Parish of Washington, State of Louisiana, plans to consider adopting a resolution ordering and calling elections to be held in (i) Consolidated School District No. 4 of the Parish of Washington, State of Louisiana and (ii) Angie-Varnado Consolidated School District of the Parish of Washington, State of Louisiana to authorize the issuance of general obligation bonds.

 

Agenda Item #6 – Consider a motion to adopt a resolution to hire financial advisors, Government Consultants of Louisiana, Inc. (Darrell Fairburn).

 

It was moved by John Wyble, seconded by Dan Slocum, that the Board adopt the resolution to hire financial advisors, Government Consultants of Louisiana, Inc. as follows:

 

                                                                   RESOLUTION

 

A resolution retaining Government Consultants, Inc. (“Government Consultants”) as Municipal Advisor pursuant to the Dodd-Frank Wall Street Reform and Consumer Protection Act, and provide for other matters in connection therewith.

 

WHEREAS, the Parish School Board of the Parish of Washington, State of Louisiana (the “Washington Parish School Board”) from time to time undertakes the issuance of Bonds and/or other debt obligations (collectively “Bonds”); and

 

WHEREAS, The Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Act”) provides that professionals giving certain advice relative to the issuance of such Bonds must be registered as a Municipal Advisor; and

 

WHEREAS, the School Board finds it necessary and beneficial to retain the services of a Registered Municipal Advisor in conjunction with the issuance of Bonds and in accordance with the provisions of the Act;

 

NOW, THEREFORE, be it resolved that:

 

Section 1.      The Washington Parish School Board hereby retains Government Consultants, Baton Rouge, Louisiana, Registered Municipal Advisors, to act as its Municipal Advisor.  The fee for such services shall be payable from the proceeds of the Bonds and the amount thereof shall be subject to approval by the Washington Parish School Board.

 

Section 2.      The Washington Parish School Board or the Municipal Advisor may terminate this retention at any time upon written notification to the other party.

 

The foregoing resolution having been submitted to a vote, the vote thereon was as follows:

Agenda Item #7 - Consider a motion to adopt a resolution to hire bonding attorneys, Foley & Judell, L.L.P. (Darrell Fairburn).

 

It was moved by Dewitt Perry, seconded by Robert Boone, that the Board adopt the resolution to hire bonding attorneys, Foley & Judell, L.L.P as follows:

 

RESOLUTION

 

A resolution providing for the employment of bond counsel to the Parish School Board of the Parish of Washington, State of Louisiana, for the proposed issues of general obligation school bonds of Consolidated School District No. 4 of the Parish of Washington, State of Louisiana, and Angie-Vamado Consolidated School District of the Parish of Washington, State of Louisiana, and providing for other matters in connection therewith.

 

WHEREAS,, this Parish School Board of the Parish  of Washington, State of Louisiana (the "School  Board"), acting as the governing authority  of Consolidated  School District No.4 of the Parish of Washington, State of Louisiana, and Angie-Vamado Consolidated School District of the Parish of Washington, State of Louisiana, after due deliberation, deems it  necessary  to  protect  the  public  interest  and  finds  that  a  real  necessity  exists  for  the employment  of bond counsel in connection with the proposed  issues of general obligation school bonds of the respective Districts and the holding of elections for authority to issue the proposed issues and that such legal work requires the services of and can best be performed by recognized bond council; and

 

WHEREAS, Foley & Judell, L.L.P., has specialized in this type of legal work and are nationally recognized therein;

 

NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of the Parish of Washington, State of Louisiana, acting as the governing authority of Consolidated School District No.4 of the Parish of Washington, State of Louisiana, and Angie-Varnado Consolidated School District of the Parish of Washington, State of Louisiana, resolve that:

SECTION  1.  Foley & Judell, L.L.P., of New Orleans,  Louisiana, is hereby employed as special bond counsel to the School Board to perform  and do all traditional and legal work as bond counsel with respect to the incurring of debt and the authorization, issuance, sale, delivery and approval of the proposed issues of general obligation  school bonds of the Consolidated School District No.4 of the Parish of Washington, State of Louisiana, and Angie-Varnado Consolidated School District of the Parish of Washington, State of Louisiana, including preparing all proceedings and taking such action with regard to this School Board calling elections in the respective Districts to authorize said issues of general obligation school bonds.

SECTION 2.  The fees to be paid to Foley & Judell, L.L.P., in connection with any issue or series of general obligation school bonds or other indebtedness to be issued by the respective Districts are hereby established and fixed at a sum not exceeding the maximum fee allowed by the Attorney General's fee schedule for comprehensive, legal and coordinate professional work in the issuance of the general obligation school bonds, based on the principal amount of each issue of bonds actually issued, sold delivered and paid for, plus "out-of-pocket" expenses, said fee for each issue of general obligation school bonds to be contingent upon the issuance, sale and delivery of such issue. A certified copy of this resolution shall be forwarded to the Attorney General of the State of Louisiana for his approval of the employment herein provided for.

The School Board hereby acknowledges that it has named Foley & Judell, L.L.P., of New Orleans, Louisiana, as bond counsel for  the Bonds, and in connection therewith, the President of the School Board is hereby authorized and directed to execute, and this Governing Authority hereby agrees to, and accepts the terms of, the engagement letter of Bond Counsel, a copy of which is on file in the records of the School Board.
